In addition to actual shares outstanding (per Softechie's response), there are a number of warrants that at present prices are in the money for conversion to common stock. They seem to amount to something like 12 million shares equivalent, but I did not do an exact count, nor did I go back before 1997. You can check at Zi's site for press release listings:
