Authorized Shares: How's this for an answer from a lurker:

Authorized shares is simply a housekeeping measure and has no impact on the
shareholders (dilution, etc.). The only thing that is significant is shares
outstanding. Many explosive growth companies like to keep shares authorized
so that they can move more quickly if an opportunity such as an acquisition
arises. Remember, with the 60 million plus outstanding and the 61 million
shelf registration and only 100 million shares authorized, this housekeeping
had to be done now. Having some extra shares authorized is just standard
business practice.

Mr. Hughes is a big shareholder in the company. I know that he can be trusted not
to use shares foolishly, because he would be harmed by that more than
anyone.
