VoiceStream in talks for Aerial

NEW YORK (CBS.MW) -- VoiceStream Wireless (VSTR: news, msgs) is close to acquiring Aerial Communications [aerl], a digital-cellular-phone company, in a deal that would mark further consolidation in the wireless industry. Exact terms of the complex transaction couldn't be determined, but VoiceStream is expected to pay about $25 a share in stock and cash for each share of Aerial, according to a person close to the transaction. Based on Aerial's 72 million shares outstanding, VoiceStream appears to be offering about $1.8 billion for the equity. But the person with knowledge of the deal said the entire transaction, including debt, equity and other provisions, could be as much as $3 billion. Aerial, while publicly traded, is majority-owned by Telephone & Data Systems, a Chicago telecommunications company. Telephone & Data's strategy for Aerial has been the subject of a restructuring debate and plans once called for a spinoff.
