RIG --> Caymans: Tax Implications????

Hi marc et al,
At the time of the move there was this mention of the tax implications:

Could read this to mean different things.
Does anyone have prior experience with companies who have gone thru such a reorganization?
---Must we recognize gain for this year's taxes?
