JCJ, At ML, a Buy (1) rated stock usually needs to have at least 20% upside potential to hang on to its rating. An Accumulate (2) rated stock needs 10-20% upside. There are often exceptions, but those are the usual parameters. Otherwise, the analyst would have to downgrade the stock. Analysts usually aren't faced with addressing a non-conforming target unless they comment or publish, and even then they may ignore the issue.
