As i understand the situation, the company has until October 7th, 1999 to comply with the reporting requirements necessary to remain on the OTC-BB. If they do not comply be that date, the stock will be removed from the OTC-BB at the start of trading on October 8th, 1999 and placed on the National Quotations Bureau's pink sheets.

Once the company has been moved to the "pinks", it remains there, and i believe it can be traded although i am not sure how. Once on the "pinks" it stays there indefinitely. The company can be relisted on the OTC-BB at anytime by complying with the eligibility requirements. This can be done by a Market Maker submitting a form 211 on behalf of the company demonstrating that the company is in compliance with the eligibility requirements. Once this is approved, the company can resume trading on the OTC-BB.

The list that is currently on the OTC-BB website, which indicates CMLK as a "fail", has been posted as a tool to notify market makers as to whether or not companies are currently in compliance. Almost a trial run if you will. On October 1st, 1999 the OTC-BB will post on their "daily list" a list of comppanies which are still not in compliance with the eligibility requirements. As i mentioned earlier, if the companies have not complied with the requirements by October 7th, 1999 the will be dropped from the OTC-BB.

As we all know, anything could happen here. I have accumulated a relatively small amount of this stock over the past few months based on a combination of my own DD and that of others who have posted here previously.

I believe that the stock has also been accumulated by the Bass brothers from Texas, however, without any filings, it is very difficult to prove this.

I am currently anticipating one of two things to happen. Firstly, the company is currently in the process of preparing their 10sb and financials so as to become a fully reporting company and comply with the eligibility requirements by October 7th,1999. One of the things which worries me about this is that i am not sure that this can actually be completed in the short time that is left. Should this currently be underway then i would expect to see a 10sb very soon which details the companies structure, finances and plans for moving forward.

Secondly, the company will not meet the October 7th deadline and will be dropped from the OTC-BB. While this is not the most desireable thing, i do not necessarily believe that it will be the end of the world, or CMLK for that fact.

My knowledge of the finer details of IPO's and movement between exchanges is not very good but allow me to speculate for a moment. If the Bass brothers are indeed heavily invested in CMLK to a point of control, one would assume that they are planning something big. Would it not make sense then that they would probably prefer not to be listed on the OTC-BB ? It may be that they would look for one of two things to happen. Either to announce whatever their plans are while still trading on the OTC-BB and then move towards meeting the requirements for a move to the big board over time. At the same time opening themselves up to all kinds of the typical BB Market Manipulation. Or, they could allow the stock to be dropped to the "pinks" and then move forward with an IPO directly onto a major exchange.

Can anyone confirm as to whether or not it is possible to IPO from the "pinks" ??? I have no clue !

All, please accept that my comments are purely speculation and that i am only raising potential routes that this could go.

I for one will be watching for things to happen between now and October 1st. If the Daily List comes out showing CMLKE as still being on target to be delisted then i will have to make a decision as to the options at that time.
