Mike,

The insider sales have been minor (except for the TWE sale, which still left TWE with a huge stake).
These people have a lot of locked-up shares, and I'm sure they needed to take a little off the table to pay for
expenses and fancy cars and such. I've seen similar quarterly selling in stocks like ASND, and it meant nothing.

Look at the following table from the 14G filed in April. All amounts need to be doubled, as there was a stock
split.

"As of March 31, 1999 there were 227 holders of
record of Knight/Trimark Common Stock.

- Lazarowitz has 7.8MM shares. He has sold hardly any.
- Raquet has 7.6MM shares. He has sold few in comparison.
- Steinman has 7.8MM. He has sold none that I see.
- Pasternak has 7.8MM. He has sold few in comparison

I can't figure Turner, the CFO, who appears to have sold more than he owns. Can anyone figure this out?

As for why no buying, even if NITE is a tremendous bargain, if you owned as many shares as these people would you
further concentrate your position by buying more? I don't think so.
