Sam,

1) MP3 is a passing craze.
2) Digital photography just isn't catching on.
3) Mobile Internet access via digital cell phones is a pipe dream.
4) Handheld PC's just aren't as useful as people thought they would be.
5) Flash memory is antiquated.

If any or all of the above were true I would sell my SNDK shares, never before.

Sam and Thread,

I am wrong about the secondary pricing. The filing states that pricing was...

"...estimated solely for the purpose of calculating the amount of the registration fee pursuant to Rule 457(c) under the Securities Act of 1933 and based upon the price of SanDisk's common stock as reported on the Nasdaq National Market on August 10, 1999."
