DJ, I am no M&A specialist, but from what I read and from what EB said, it seems that after the IPO early next year an acquirer will have to wait until after the Palm shares are distributed to make a bid to get 3Com without Palm, since up to that point 3Com will be holding 80% of the Palm shares and its market valuation will reflect that. However, there will only be a few months left following the Palm share distribution to complete the acquisition (very tough for a multibillion $ acquisition) and still fall under the favorable pooling of interests accounting rules. My understanding is that these rules can only be used for acquisitions completed before year end 2000.
