They are calling ATHM "Operational" aka "dumb pipes"?
I don't believe AOL every wants to own or be accountable for any opearation. They want to have distribution for their products from the best (cost) provider.

Excite@Home announced that former Excite CEO George Bell will focus his efforts on the operational growth of AtHome, focusing on relationships with cable operators.

The move is odd for Bell, who just last year appeared on the cover of Business 2.0 as the man who would defeat Yahoo. The only reason that I can think of for moving Bell away from Excite, is that the acquisition in nearly certain.<>

Bell most likely has seen how power figures at other net companies perform inside the AOL umbrella, where Steve & Co. rule. He probably would like to be the big fish in the AtHome pond, instead of just another executive at America Online. I don't blame him, but it will be a loss to AOL should Excite be acquired without Bell. Nonetheless, the arrangement is still highly attractive for everyone involved.
