PRIMEX ANNOUNCES CMS ACQUISITION
St. Petersburg, FL, October 13, 1998 ? PRIMEX Technologies, Inc. (Nasdaq:PRMX) announced today it has signed a conditional agreement to acquire the CMS Group ("CMS"), an operating division of Daimler-Benz Aerospace AG ("DASA"). CMS, headquartered in Tampa, FL, is a $100 million defense contractor. The transaction is subject to, among other conditions, federal government review and clearance under the Hart-Scott-Rodino Act and approval by DASA?s parent Daimler-Benz AG.
In making the announcement, James G. Hascall, PRIMEX?s Chairman and CEO, commented, "We are excited about the addition of CMS and see a number of synergies with our current businesses. The company provides high quality munitions, engineering, testing and manufacturing capabilities and is an excellent enhancement to our ordnance business. CMS will immediately broaden our product and customer base and expand our defense-related market position."

CMS has seven operating facilities located in the southeastern United States. The principal business areas include precision metal parts production, warhead development, explosive load, assemble and pack and air and ground delivered weapon systems.

Primex Technologies, Inc. is a $500 million defense and aerospace company with 2,500 employees and 18 operating facilities and offices in the U.S. The company, with headquarters in St. Petersburg, FL, maintains core businesses in munitions, propellants, satellite propulsion systems and electronic products.
