Yes, I understand. The problem is, I have a nice little nest egg tied up in appreciated stock within the C corp. I typically have margin interest to offset gains, therefore no (or little) tax in the C corp, only on dividends once moved to me.

My question is if there is any issue with the only corporate earnings coming from the sale of appreciated assets.

You mention electing S Corp, but what happens to the appreciated stock?
