It was my understanding that the merger between the shell called CDDD and the actual company has not officially closed yet, and the patents are not even in the companies name. Can you clarify this?

C3D Inc. Receives $1.6 Million From a
Private Investment Group

NEW YORK--(BUSINESS WIRE)--Dec. 30, 1999-- C3D Inc. (OTC Bulletin Board: CDDDE -
news; ``C3D' or the ``Company') announced today that it has received one million six hundred
thousand ($1,600,000) dollars from Winburn Advisory, a private investment group, in exchange
for the issuance of the Company's 8% Series C Convertible Note. The Note matures on October
31, 2001 and is convertible into shares of its Common Stock at a conversion price of the greater
of (a) the market price at the time of conversion, or (b) $50 per share.

Eugene Levich, the Company's President and CEO stated that he ``was gratified that the
Company's technology was beginning to be recognized by the investment community for its
potential future and current value.'
