DAK,

You have to distinguish between tax accounting and reporting accounting. The neat trick these guys seem to have pulled off is for the losses to flow through for tax purposes but not for reporting purposes.

I believe there are some efforts to force consolidated accounting in this type of deal, which if successful will cause the rapid demise of this form of tracking stock. (You could still do a pure spin-off as AGPH was planning before it got munched).
