SILVERLINE Industries Ltd, (SIL) is acquiring US based Silverline Technologies Inc. (STI). The move will lead to a huge increase in the profits of Silverline Industries as the latter has a large number of Fortune 500 companies as its clients and it has a large marketing network in the US. SIL has applied to FIPB for the purpose and permission is expected on Monday. Purchase considerations will be paid to Silverline Holdings Corporation through issue of 60 lakh shares of SIL. The Insider learns that the acquisition will add more than Rs 30 crore annually to the profits of SIL while equity will rise by only Rs 6 crore.

The acquisition will also clear the way for American Depository Receipts (ADR) issue of Silverline Industries. The Insider learns that the promoter group expects to fetch a price of nearly $20 per share of the company in the US market implying a price of Rs 900 per share. The ADR issue is expected by year end.

THE Asia Pacific Fund is acquiring 38 per cent stake in Orchid Chemicals & Pharmaceuticals Limited by investing Rs 175 crore as equity in the company. FIPB is expected to give its nod on Monday to the proposal. The funds induction will give Orchid huge cash resources and lead to a complete rerating of the stock. With this move Asia Pacific Fund will hold 38 per cent equity, Foreign Institutional Investors and Non-Resident Indians would hold 29 per cent stake, another 6 per cent will be held by overseas corporates and only 26 per cent will be held by resident Indians. Orchid would thus acquire the status of an MNC pharma company.

The company already has an Earnings Per Share of Rs 21 per share which will rise significantly as a result of fresh funds flow this year. Orchid Chemicals was the first Indian company to export the inputs for the much touted Viagra. That had added significantly to the company?s profits.

THE pick up in trucks and car markets has brought into focus the growth prospects for Tata Finance Ltd. Dresdner Kleinwort Benson has recommended a buy on the scrip with a 12 month price target of Rs 150. The FII has estimated TFL's current fiscal earnings at Rs 12.60 per share and consolidated earnings will be another 60 per cent higher. At current price of Rs 80, the stock is discounted just 4 times the consolidated earnings for the current year. Kleinwort Benson has called Tata Finance a 'financial giant in the making'.

The growth in automobile industry means higher profits and lower NPAs for TFL. New businesses like credit cards, forex services and insurance distribution will result in increased fee income and better earnings quality in the medium term. This will also help in making TFL a one stop financial house.

The Insider learns that TFL has just concluded a Rs 100 crore lease deal by purchasing an aircraft for TATA group. This will help increase income of the company with zero risk. It would also save TFL over Rs 10 crore in tax outgo. This will significantly reduce tax liability.

Kleinwort Benson believes that consolidated earnings will exceed parent earnings by 54 to 56 per cent. Much better performance by subsidiaries dealing in government securities and equity investments will boost earnings.

A cheap line

RPG Cables is the cheapest stock amongst its peers in the industry. While the company has bagged orders for telecom cables equivalent to that of Finolex Industries and Vindhya Telelinks, its scrip quotes at a fraction of the price of its peers.

Given its high book value of Rs 125 per share and earnings set to increase significantly in the current fiscal, the scrip is being accumulated by mutual funds. The scrip quotes at Rs 37 on the NSE.

The office of director Douchan Gersi in Chennai is a study in colour contrasts. While one wall is painted a vibrant blue, the other walls are dominated by reds and yellows.

"I liked the elements of love, friendship,good and evil in this story."--Douchon Gersi

The director is in a pale gold silk kurta with a prominent red bead necklace around his neck. "I feel so much at home in India. I love its vibrant film industry," he says. "Films in the west are monochrome. Here they are multi-hued." The project he is working on now,The Return of the Thief of Baghdad is to be shot entirely on location in India and will star Telugu actor Chiranjeevi.

The Thief of Baghdad, released in 1940, enchanted moviegoers and won four out of the five Oscars it was nominated for. It detailed the adventures of Abu, a thief and prince Ahmed, the banished king of Baghdad who was blinded by his wicked vizier, Jaffer. Essaying Abu's role was Sabu, the elephant boy from India.

The Return is based on a novel by Sabu's daughter Jasmine. The story has Abu, now a mature adventurer, rescuing the princess and the kingdom of Basran from the evil machinations of Khaled, the neighbouring king. The cast has Charlotte Ayanna as the princess and Omar Sharif.

"This story has universal appeal, there's love, adventure, magic, music, good and evil," says K. Ramesh, the founder of the US-based event promotion company, Indus Inc., which is producing this $10 million film.

Gersi is an avid explorer, anthropologist and film-maker and was looking for a project to mark his debut in feature films when Jasmine called him with the story almost three years ago. "I liked the elements of love, friendship, good and evil," he says. "I have many children and I am keeping them in mind while writing the script".

For the location Gersi chose India over Morocco and Turkey "because of its vibrant colours and because I wanted to share India with others". Gersi is an old India hand, he did stints here while making documentaries like The Wheel of Karma, Journal from India and Where is Truth?.....
