What is stopping anyone else from developing their own delivery systems or from licensing the technology. This could be a problem down the road, but not yet I don't think, not at least until things begin to take shape after this acquisition.

To answer your question look at the snippet:

In addition, GMST(or TVG's) "biggest competitors will be AOL and MSFT" ;-). That should calm down the regulators...
