Being a late comer to this situation one of the most remarkable aspects of the USW bid is the stock price collar in the cash plus stock offer. QWST has an escape clause at what $21(?)at a time when the company was trading in the mid thirties? Given the structure this seemed an invitation to arbitrage by USW long and QWST short.

Contrairian play was to long QWST at the very low price the arbitrage's were providing and hope the deal came undone. Now it appears this strategy should be based on the bigger fool theory.

It should be noted though, as the QWST price rises less dilution will be needed to pay for USW which will have the arbs in a tizzy.
