Short term it's more an issue of perception rather than fundamentals. A far as AOL and MSFT, they are Gemstar licencees, so I am not sure if this would calm the regulators. On the hand, I am sure the parties involved have thought it through, and will make all the right "noises" to show that competition exists.

that's a fair assessment. aol&msft may be licensees, but they are gorillas who want a piece of the TV realestate. if gmst manages to show that there are other MAJOR players in the field who are making money off of TV EPG related advertizing(whether or not they are directly competing), the regulators should be mollified. There really was not much of an alternative(in retrospect) to GMST & TVGIA merge(atleast regarding the cable/sat segment). That segment would never have developed to its full potential if this merger would not have happened.
All that said, GMST is prolly going to be under greater scrutiny
if antitrust concerns are ever brought up against it...
