a definitive merger agreement to acquire California based Orbit Network
Inc. in a stock for stock exchange. Terms of the deal were not
disclosed.

This acquisition supports Divot's strategy to capitalize on Orbit's
technology platform and travel industry relationships to build a unique
business to business leisure travel e-commerce Internet company. "While
independent consumer direct Internet travel initiatives struggle for
