There's probably significant overlap between data that MLNM already has and what's in the INCY database. So the contract might say something like "MLNM doesn't pay for stuff it knows already unless a valid patent is issued (in the future) to INCY." It might also say "MLNM pays for stuff in the database unless someone else is subsequently awarded a valid patent on the sequence."

Either of these (or many similar clauses) could make the royalty contingent. I agree it makes it harder for investors to value a contract, but maybe that's because it's harder for the companies themselves. As we move into an environment of more and more overlapping rights, we are going to see more and more contingincies.

I hate the way they they don't diclose this stuff... I suppose they don't want to let the other customers know when they've given a sweater deal so another [probably this one]. Great name to sign up just the same and shows that even the mighty MLNM needs the product. I wish at least they'd break down what the subscription costs are... I mean common Bloomberg will tell you what a subscription costs, what about INCY?

All in all, I will say that this is important in my mind that MLNM sees value in farming this out.

Good find Rick. Knowing MLNM, they reviewed this contract with a fine toothed comb.
If I had bought into ABGX when they and MLNM struck their deal I would be up about 4 fold some 6 months later.
