I think the management fees are taken from dividends from the stocks in the S&P 500.

One downside to the performance of SPY is that it's dividend rate is lower than the dividend of the S&P 500. It is my understanding, and I could be wrong, that AMEX takes its expenses from the dividend flow. This lowers the return relative to the total return by the difference between the two. I think your analysis of SPY vs index funds is otherwise pretty accurate.
