At such time as there are no further comments from the SEC, the Form 10-SB will be deemed effective. " [So there have been comments from the SEC? That's what this seems to imply. As well, the presumption is that the SEC will allow ZSUN to have an effective 10SB when and if they stop giving ZSUN questions to answer. Well, there is another possibility and it is very possible here: that is a straight out denial of acceptance of ZSUN's 10KSB by the SEC. Me thinks that this is a VERY high probability, even though it is rare] "The result of the Form 10-SB being effective is that ZiaSun would be considered a full reporting company. That is, ZiaSun will be subject to the reporting requirements of Section 13 and 15(d) and Sections 14 and 16 of the Securities and Exchange Act of 1934. As such ZiaSun would be subject to filing annual reports on Form 10-KSb, Quarterly Report on Form 10-QSB, Period Reports on Form 8-K, Insider Reports pursuant to Section 16 on Forms 3, 4 and 5, and would be subject to the proxy rules and Section 14. [Oh, so in the very unlikely event that all of this stuff gets cleaned up and the 10SB is finally declared effective (like I said, NFW, but let's play pretend, since that's what this company is all about), well then ZSUN will have to APPLY for listing on the Nasdaq Small Cap Market?!!!!! You mean, more of a wait? The Nasdaq has to look at this? Oh no!] Like I say, just my opinion, but I am willing to bet that the 10SB NEVER becomes effective, NFW.
