Keith, The original filing showed a $2.00 share price for the offering and was also noted as "only to be used for the calculation of the registration fee" when the actual days price at that time was around $1.23. It also had included the following paragraph, <We anticipate that the public offering price will equal <the average of the closing bid and asked prices per share <of our Common Stock as quoted on the OTC Bulletin Board <on the date prior to the commencement of the Offering under <this Prospectus. As of February 24, 1999, the closing bid <price per share of Common Stock was $1.23. Maybe someone else can shed more light on this. Hope this helps. Dan
