Conversion to Common Stock Completed for Majority
of Series D Preferred Stock

FAIRFAX, Va., Oct. 8 /PRNewswire/ -- Xybernaut Corporation (Nasdaq: XYBR - news), the leader in wearable computing,
announced today that the majority holder of its Series D Preferred Stock (''Series D'') had completed the conversion of its
holdings of Series D into the Company's common stock and has successfully sold this common stock to third parties.

Edward G. Newman, President and CEO of Xybernaut, stated, ''The recent conversion of this last $1,000,000 block of Series
D is significant, because we believe that it largely removes the conversion pressure from the Series D that we feel was a
significant factor in the decline of the price over the past few months.''
