to answer your question the why they would wait till options expire..i wish i could answer that but just from other takeovers the seem to go right after earnings or option friday

Cabletron Systems and Cirilium Partner to Deliver Voice-Over-IP Solutions

Cabletron SmartSwitch Router, Spectrum Management and Professional Services Play Pivotal Role in New SmartVoice Solution TELECOM '99 (Booth 1111)- Cabletron Systems (NYSE:CS) today announced a strategic technology partnership with Cirilium, a joint venture recently formed by Hypercom Corp (NYSE:HYC) and Inter-Tel (NASDAQ:NNM:INTL), to deliver advanced VoIP solutions to enterprise users and service providers.

Cornerstone to Cabletron's new VoIP offering is their leading-edge, layer 3/4 SmartSwitch Router (SSR) family of products, incorporating advanced voice traffic prioritization and high-performance capabilities critical for delivering high quality telephony. Three additional elements, when combined, provide the market with a formidable VoIP telephony solution. These include Spectrum, Cabletron's enterprise management solution for multi-vendor management of voice and data, Cabletron's professional services for seamless design, implementation and support, and Cirilium's proven VoIP and frame relay gateway technology.

One of the industry's most scalable VoIP gateway product ranges, SmartVoice Gateway (SVG) provides support for four analog voice connections up to 32 T1 digital connections. Designed to interconnect PBX and key systems over existing corporate or service provider data backbones, SVG can save customers over 80 percent on their long-distance phone bills. In addition, SVG allows service providers to deploy new packet-based telephony services.

Interconnecting via SmartVoice router and switches, SVG utilizes a single (UDP) protocol address to identify IP packets that contain voice traffic, allowing Cabletron's SSR's to prioritize voice traffic at wire-speed via its layer 4 capabilities. This in turn minimizes delays and optimizes voice quality and clarity.
