Research in Motion has obtained a receipt for a final short form prospectus
from each of the provinces of Canada and its registration statement has
become effective under the U.S. Securities Act of 1933 in connection with
its previously announced public offering of five million common shares. The
common shares will be sold in the United States at $30.75 (U.S.) per share
and in Canada at $45.55 per share. The total net proceeds to the company
are expected to be approximately $216,362,500. The offering is expected to
close on Oct. 19, 1999.
The lead manager for the offering is Merrill Lynch & Co., and the
co-managers are SoundView Technology Group, Inc., Banc of America
Securities LLC, SG Cowen Securities Corporation and U.S. Bancorp Piper
Jaffray Inc. RIM has granted the underwriters an option to purchase an
additional 750,000 common shares to cover overallotments, if any.
Net proceeds of the offering will be used to finance sales and marketing
activities, finance product development initiatives, finance the
acquisition of capital equipment and for general corporate and working
capital purposes, including possible acquisitions.
