1) Insider ownership and buying is extremely
important. Tepper alone controls over 10% of USAB
(take this for what it?s worth, I?ll provide proof when
I get it) rumor has it, a few insiders purchased
upwards of 75,000 new shares in the SPO. Last count
had them at 1,311,624 shares of 5,401,000 total, or
24%. Who knows more about the company than the
insiders?

2) Almost all of the USAB deals are structured
similar to the eMachine deal. It will only cost money
if and when the partner delivers a new qualified
customer. $9.45M may not go very far if they bring in
too many new customers. This is a good/bad problem,
they need the accounts to drive the share price up and
the new accounts will bring in the revenue. Since
each new account will cost them $$$, the $9.45M
only goes so far. Just like in sales . . . Find us the
deal, we?ll get you the $$$ to fund it! USAB met
several Internet underwriters on the recent road show
who would love to do the next offering. Most people
don?t realize this, but there were 15 different
underwriters in the SPO, Sandler did 975k and the
other 14 divided up the rest. Underwriters who would
value them as an Internet company, not a B&M Bank.
There are several ways to do an additional offering.
Do another SPO . . . probably too time consuming.
Do a bond offering . . . probably not, debt doesn?t do
the balance sheet much good at this stage. Do a
capital offering limited only to institutions with a 12
month minimum hold period on their investment, can
be completed within a week or two and no quite
period . . . the most likely solution for USAB to raise
additional cash.

3) With the SPO completed and behind us, we have
about $10M in cash, plenty of institutionals on
board, the quiet period is over, we?ve recently joined
the NASDAQ, as far as I know all the bad news is
behind us (3rd quarter earnings?) and there?s more
good announcements to come.

4) Institutional ownership is extremely important,
they drive the stock price and they take away some of
the growing pains a small company would normally
experience at it alone. Institutional?s steer them in the
right direction when they need to get something done.
They have a vested interest, they have the connections
on Wall Street and they want to help USAB succeed!
This isn?t a sit back and watch investment for them,
they want to help and want results . . . and the results
they want are share price appreciation!

5) Alliances look very good on the surface, but
results are all that matter and I firmly believe USAB
will bring in the new customers with the alliances
they have in their pipeline. That?s no hype . . . I put
my money where my mouth is and that?s longer than
ever USAB! >>>
