ARM Holdings plc Reports 77% Growth in Third Quarter Pre Tax Profit

Cambridge, UK, October 18, 1999?ARM Holdings plc [(LSE: ARM) and (Nasdaq: ARMHY)] announces its
unaudited financial results for the third quarter and nine months ended September 30, 1999.

FINANCIAL HIGHLIGHTS (US GAAP)

Nine months ended September 30, 1999
-Revenues up 45% to œ43.2 million (1998: œ29.8 million)
-Profit before taxation up 78% to œ11.4 million (1998: œ6.4 million)

Third quarter ended September 30, 1999
-Revenues up 40% to œ15.7 million (1998: œ11.2 million)
-Profit before taxation up 77% to œ4.4 million (1998: œ2.5 million)
-Unit shipments 33.2 million in the second quarter of 1999 (1998 Q2: 10.0 million )

-Earnings per fully diluted share were 76% higher on the corresponding quarter last year at 1.4 pence (6.9
cents per ADS*). These figures are after the inclusion of non-cash compensation costs relating to stock
options granted from March 1997 to March 1998 of 0.1 pence per fully diluted share (0.4 cents per ADS*)

*Each American Depositary Share (ADS) represents three shares

Commenting on the results, Robin Saxby, Chairman and CEO said ?Our partnership business model continues to
evolve as demonstrated by our collaboration with Ericsson on Bluetooth and our license agreement with 3Com.

ARM has always partnered with industry leaders: first with world-class semiconductor companies to support
OEM needs, and now with world-class OEMs to support end-user needs. And as strategic initiatives like
Bluetooth become a greater component of system-on-chip design, closer collaboration will occur.

During the quarter, new end products using ARM ? technology were announced including the next generation
Nintendo Game Boy, new handheld products produced by Psion including the Psion Netbook which uses a
StrongARM ? processor and a SCSI RAID array controller from Adaptec. These new design wins demonstrate
that the ARM microprocessor is being used in a broadening range of applications. With respect to our R&D program, we are pleased to report that we have successfully taped out our first ARM10' product to Lucent.?

Jonathan Brooks, Chief Financial Officer, commented ?In the third quarter we added three new licensees bringing
the total number to 37. One existing partner ?upgraded? from the ARM7' processor family to the ARM9'
processor family bringing the total number of partners who have licensed cores for this family to eleven.
Significantly, five existing licensees of our ARM7 and ARM9 core families licensed additional product variants
including the ARM7TDMI-S', the ARM720T', the ARM9E-S', the ARM946E' and the ARM966E' microprocessors. This continues to demonstrate our licensees' commitment to the ARM architecture.

Recruitment advanced during the third quarter and headcount at September 30, 1999 was 406 compared to 385 at the end of the half year.

Operating margins continued to improve and were 25% for the third quarter to September 30, 1999 compared to
16% for the corresponding period in 1998 and 23% in the second quarter of 1999. We hope to be able to sustain
these margins in the fourth quarter of this year.?
