Yes Dorothy, details are in the SEC filings. Usually there is a generic press release. "XYZ Receives $5mln in Private Placement" Headlines like that. need to read the following SEC docs to determine if the financing will be dilutive to the company.

EFAX's financing had a "ceiling" of $12. Notice how the stock traded to 12 but couldn't break it? Usually the person issuing the financing shorts to hedge their position and lock in a profit. As a long, you can be competeing w/someone shorting hundreds of thousands of shares. Sometimes millions. Tought to win but it can be done. ANCR was one that recovered. Look up the following tickers, they have done this type of financing- ZITL,UOLP,TERA,BDE,ENML.. numerous others have been delisted.

Some of the financings can be extremely wordy and hard to understand. There is a thread on SI for this subject. Search for "Floorless" if interested.
