Cubby,

On Aug. 20, 1999 announced that it had acquired Lamaze Publishing
Company, Inc. in exchange for consideration consisting of approximately 1.7 million shares of iVillage Inc. common stock and approximately $5 million in cash and the repayment of indebtedness.

As you probably know, Cryo-Cell has a long-term marketing agreement
with Lamaze.

One of our top-analists in Belgium is hinting now to a possible
take-over of Cryo-Cell by iVillage.

Because they paid a huge premium to acquire Lamaze, this analyst thinks that the same could be true for Cryo-Cell...

This case is even more probable, because iVillage asked to sell 2.7 mln shares. The company said it hopes to raise $86.7 million from the offering, based on an average share price of $34.25.

The offering would bring the total number of outstanding shares to
nearly 29.5 million.

With this new money, they can buy new promising companies, which are
closely related to their business....

Regards,

GF.

Cubby,

Any idea why Cryo-Cell did not take part in the recent surge of the
pharma stocks ?

Instead of going up, it went down !!!

Thanks.

GF.
