The commission alleges Cowpland "had knowledge of a material fact with respect to Corel that had not been generally disclosed" -- namely that the company was expecting a $32-million quarterly loss.

  The stock market watchdog also accused Cowpland of making "misleading or untrue" statements while the investigation was ongoing in May of last year.
