Assensio and the other shorters may be right in the short-term for all the wrong reasons. The ultimate question remains:

Does D2D work?

If D2D works, and the jury is still out, PRKR will be a hugely successful company in the near future. Even the shorters must admit that.

Most of the current hubbub comes from financing done in 1996 and 1997 by a small company desparate for finacing to survive, before the D2D technology was developed. The need for cash drove PRKR to Neuberger Berman(NB) to raise funds. The shorts argue that this also led PRKR to fabricate the creation of D2D.

"ParkerVision, a video and radio-frequency product maker in Jacksonville, Fla.,paid Mr. Ferraro warrants convertible into 205,000 shares during 1996 and 1997, for raising money from Banca del Gottardo. Filings showed that Neuberger Berman clients or partners have been owners of Vasomedical and ParkerVision, but Mr. Ferraro said his own clients weren't invested in them. "

Did PRKR do anything wrong? All companies must pay their underwriters in cash or stock for their services. PRKR most likely assumed that they were paying Neuberger Berman, not Ferraro. In hindsight, they could have chosen a better underwriter, but the point is that the money raised got them to where they are today.

If the technology exists and lives up to its billing, we will look back on this episode and thank Asensio and the shorts for giving us a tremendous buying opportunity. If the technology does not exist, a lot of people should go to jail.

The Symbol Technologies deal will soon prove who is correct.
