DRat, IMHO you are right on target. Garth provided the 500k loan with the provision that on 10/20/99 if it was not paid off, they would take stock. The stock would be determined at 75% of the 5 day average price at the time of conversion. I'm sitting here trying to think of any other possibility, and to my mind, there ain't none. To my knowledge, none of the large share holders have liquidated their position. The only one who stands to gain from this is Garth. There's nothing FNTN can do about it. Not a blessed thing. HOWEVER.....there is a light at the end of this tunnel, and that is 10/20/99. That's the end of it. There are no more convertibles left. Finito! Everything from here on in is straight equity. So I'm thinking, why would Michael waste a management letter or a PR before 10/20, when the shorting is done. This is simple, craftily elegant, legal, and the way things happen on the BB. Do I like it? Hell no. But, it's happening and there isn't a damned thing you, me, Michael, Maura, or Martha Stewart can do about it. It's not a beautiful thing, except for the shorter. I can't blame Michael for being quiet right now. He's just letting the fever run it's course. It will be over soon.

Many are screaming about Alan Spar going from an officer to being a consultant. I understand why. Unless you've visited the company and talked to them, you wouldn't understand. Alan is a great guy and one of the smarter people that I've met. Alan's strength is on the web and not in meetings with shareholders, lawyers and such. With the reporting status, there is a new level of internal responsibility that FNTN needs and it is requiring more of a Brooks Brother suit type than a cutting edge web master.

Others are screaming about Alan Ross leaving. Look at his replacement. Go back to the FNTN site and read the man's resume. Does it look as if the position has been upgraded or downgraded. Nuff said!

Well, it is Sunday afternoon and much football is being missed. I hope that my opinion on the subject has helped. If not, you know where to find me.

Best,

TMan
