JimC - Yes a bit more complicated but the rule of thumb is 5%/10% ownership status most institutional investors try to avoid - SDR

Jim...

If another company (not an institution) wanted to buy shares of edigital...at what share level (% ownership) and within what time frame would they have to report?

For example If Lucent wanted to buy $5MM of edigital stock (approx. 3.5MM shares or 3% of the outstanding 112MM shares)...would that be reported in a special SEC form...and what would be the time frame?
