Kozlowski sold 1715360 shares of Tyco in July the week after he EXERCISED 4308757 SHARES of Tyco stock options. It is perfectly reasonable to think that he sold the shares to cover the taxes involved in the transaction and perhaps a bit more.

IMO it is a valid concern to dig into the earnings and accounting practices of any company. However when you only present part of the information it appears as if you are trying to spin the argument. The Yahoo! board has been taken over by this type of discussion and I would hope to not see it here.

You are of course welcome to post on any board but if you make an assertion then try to back it up with something or plainly state that it is your opinion. Personally, I hope that you are right in the short term so that I can buy more at a lower price. I do not know if you are short or not but I have always felt that shorts and longs could get along if the shorts would discuss their reasons with the longs so that the longs would know when the downward movement has ended and they can re-enter or establish the best positions. Everybody can win.

Somebody said something about the market believing Tice. I cannot pretend to understand the reasons for institutional investors or fund managers. They are under intense pressure to turn in stellar returns every three months. Apparently some of them do not see the logic in holding this stock during this three months. If they need to sell their shares to me as they rush through the exit then I will take it off their hands and sell it back to them at a higher price when they rush back in.

My final concern is the coming earnings report. Kozlowski stated that they would exceed expectations. Great. However, they have made many acquisitions during this quarter and, as in past quarters, will need to take charges as they integrate. All companies do this but few acquire as much as Tyco. The question is whether the market will panic when they see these charges now that the perception is out there that they are suspect. I cannot predict market perception.

Apologies for the rambling but I have been unable to post for the past couple of days because of very poor internet access. I could not access this board, Yahoo! or my brokerage. Pretty scary feeling.
