John am I correct that in the first two qtrs 1.6mil shs

or options were purchased or converted @ $26mil (I'm assuming by employees) and that an additional amount of options were converted in the 3rd qtr for $20mil. In addition, the dilution in earnings between outstanding shares and fully diluted shares is created by the ability of employees to purchase or convert shs at some set price ? Also I believe that GAAP (Generally Accepted Accounting Principles) requires disclosure of the affect the dilution of shares have on earnings, without reflecting the benefit derived by the company (add'l capital investment) from the conversion
of the shares. If this is true it would seem that employees have been making substantial investments into the company lately.

Interactive Digital Network and Explorer 2000 Set-top

and Digital Interactive Network in Catalunya Field Trial --

ATLANTA, Oct. 20 /PRNewswire/ -- Scientific-Atlanta Europe and MENTA have agreed to conduct a field trial of
Scientific-Atlanta's Explorer® 2000 digital interactive set-top boxes over the company's digital interactive network in Spain. This is
the first interactive digital network trial in Spain and the first digital set-top trial for Scientific-Atlanta in Europe.

Scientific-Atlanta will provide its Explorer 2000 digital set-tops, headend components and technical support for the 3-month field
trial. Scientific-Atlanta will deliver digital interactive services over cable using its Internet protocol (IP) based, real-time, digital
reverse path technology.

In addition, Scientific-Atlanta will provide the software requirements for writing third-party applications. MENTA will determine
the applications, which will be tested in the trial. Previous digital trials have offered only digital broadcasting. MENTA will now be
equipped to test interactive applications such as e-mail, Web browsing, video-on-demand and interactive program guides to
subscribers. The trial is expected to start in October 1999 with selected households in Barcelona.
