Herb: I am with Ameritrade. The notice states: "If you wish to participate please contact your broker. If you do not wish to participate disregard this notice" I have faced similar notices in the past and have not been required to overtly decline to avoid tendering stock Bob

I have been advised to go on record as agreeing or refusing to participate. If I do not answer my stock will be thrown into a pot available to Capital Growth and its offer gives it the right to select any stock in the pot up to 2,000,000 shares. ... I believe the person who gave you this advice may have confused the Growth Capital Corp. mini-tender offer with a tender offer for all of the shares of LCA-Vision. In the case of the latter, but not the former, the conditions you mentioned typically would apply.
