PREDICTIVE SYSTEMS ACQUIRES NRCC

Network Consulting Firm Strengthens Its European Position through Merger with Netherlands-based Network Resource Consultants & Company

NEW YORK, N.Y. September 13, 1999—Predictive Systems, Inc., a New York-based network consulting firm, today announced that it has acquired Network Resource Consultants & Company (NRCC) in a transaction accounted for as a pooling of interests. The acquisition of the Netherlands-based NRCC strengthens Predictive Systems' European presence and provides synergy for the company's multinational clients.

NRCC, based outside Amsterdam, employs 16 consultants who work with such prestigious clients as ING, KLM, Rabobank, Ernst & Young, and AT&T. The company specializes in performance management, one of Predictive Systems' fastest growing practice areas.

“We believe our merger with NRCC is a big win for us on two fronts. Not only do we gain a strong and highly credible presence in the Netherlands, but we also deepen our performance management practice which we believe we can leverage across Europe,” said Robert Belau, president of Predictive Systems. “NRCC thinks like we do and the company works like we do. We think we're a terrific match both technically and culturally.”

NRCC's principals will remain active in Predictive Systems' European operations. Jos Bourgonje, NRCC's chairman, will become the chief European adviser to Predictive Systems. Wilfried van Haeren, the company's managing director, will lead Predictive's European network performance management practice area.

“In today's economy, high-level consulting services must be global,” said Bourgonje. “Both Predictive Systems and NRCC work with high-profile, multinational corporations that need worldwide coverage. As a joined company, we believe that we will be better able to serve our clients country to country, and continent to continent.”

In March 1999, Predictive Systems opened its European headquarters near London to provide network consulting services to large European, Middle Eastern, and African companies ¾ as well as subsidiaries of U.S.-based multinationals.

Already well established in the United States, with Fortune-1000 clients in industries such as telecommunications, financial services, manufacturing, and pharmaceuticals, Predictive Systems' global expansion illustrates the worldwide requirement for business-centric network consulting. Predictive Systems uses its BusinessFirst™ approach to help clients reduce costs, improve processes, mitigate technology risks, and manage the complexity inherent in networking technology.

“The performance of critical business applications is a worldwide issue - and some data suggests that it is, in fact, the key issue for corporations today,” said van Haeren. “With NRCC, Predictive Systems is building the bridges between technology and business that allow critical applications to perform as required and expected both nationally and internationally. We believe this is a critical advantage for Predictive's clients.”

Manny, The 14-16 trick means that for some reason when you went to re-confirm for PRDS, instead of the actual pricing (18 -18) it gave the revised range of (14-16). What I was saying is that with all the newbies at e-trade trying to get IPO's, I bet a lot of them re-confirmed at 16 because they weren't paying attention. Just a little advantage for the ones who are paying attention (us). Sorry you didn't get shares. I have been in a huge drought lately so I was due..
