(OTC BB:ICHG - news) today announced that the Company will hold its Annual Meeting of Shareholders on Nov. 12, 1999, at 9:30 a.m. at the new joint iChargeit/Bay Micro headquarters located at 2184 West 190th Street, Torrance, Calif. The record date is Oct. 20, 1999. Proxy cards are being mailed to shareholders this week. Items on the proxy include ratification of the Bay Micro Acquisition, election of the Company's Board of Directors, adoption of iChargeit's 1999 stock incentive plan, changing the state of incorporation from Texas to Delaware, ratification of the appointment by the Board of Directors of Richard A. Eisner & Company, LLP as independent auditors of iChargeit. Immediately after the Annual Meeting of Shareholders, the Company expects to file its Form 10 with the Securities and Exchange Commission. Reporting deadlines are in accordance with a company filing under the ticker symbol as of Jan. 4, 1999. As of that date, iChargeit was trading under the ticker symbol PLNK (OTC BB:Paralink - news). Therefore, the Company's reporting deadline is March 2000.
