HLIT has shares, not cash. They have to do the deal with shares.

Of course, it could go the other way, and if HLIT skyrockets, we will be singing CUBE's praises . . . counting our dough . . and wishing we hadn't been saying such mean things. But this is a BIG risk for CUBE, and little risk for HLIT.
