My understanding is that Spencer Edwards will find buyers for 144 restricted shares (1 year restriction) and those shares will be sold to the buyers by OGPS at a discount of 25% to market, and that would happen as and when $$ are required.

OGPS can decline the sale if the share price is too low, or that's how the explanation went into my brain.

It is for those sales only that SE would be paid, what I would call a "commission" 1/2 warrant for each share and the warrants are exercisable at $4. So at $4 and under it would make no sense for SE to exercise, as they would make nothing, or lose if they exercised and sold at those levels.

To really know all the details we would have to be able to read the contract/agreement between OGPS and SE.
