(``Mirror Image') The company started working with Mirror Image about a year ago taking a major role in the company pursuant to an agreement dated March 24. (the ``Agreement'), The Company acquired a 54.5% equity interest in Mirror Image Internet, Inc., a Delaware corporation (``Mirror Image'). Since the date of the agreement, the company has acquired an additional 32.0% of the outstanding equity of Mirror Image, such that, as the date hereof, the Company holds 86.5% of the issued capital stock of Mirror Image. The purchase price for the shares represented by the additional 32.0% interest is to be determined based upon the fair market value of Mirror Image at dates which are 6 months, 12 months, and 18 months from the date of such purchase. To the extent that the fair market value of Mirror Image may increase over such 18-month period, the company may be required to make significant additional investments in Mirror Image in the future. To date, the company's total investment in Mirror Image is equal to $5.95 million. The company expects to make significant additional investments into Mirror Image Internet, Inc. in the future. Mirror Image is an Internet infrastructure company addressing the ``world wide wait' problem on the Internet by delivering very fast Internet download speeds through its open network for distributed content. Mirror Image has developed and is deploying and operating a global network of large scalable Mirror Image Network Nodes strategically located at key exchange points on the Internet to store frequently requested content closer to end users. From the Mirror Image Network, content can be served directly to Internet users, as well as served, managed, pulled from and pushed to thousands of local caches deployed in Internet service providers' and corporate networks around the world. By using Mirror Image's services, Internet service providers, enterprises and content providers are able to relieve bandwidth bottlenecks, improve web response times, scale network performance and avoid making costly infrastructure investments. The Mirror Image Network delivers traffic at higher speeds because content is served from points closer to the users, and at a lower cost because it eliminates redundant traffic over the Internet backbones. When completed, Mirror Image management believes that its global network for distributed Internet content will be able to serve up to 75% of the world's total web traffic faster and more cost-effectively than with traditional solutions. The Mirror Image Network presently consists of four Mirror Image Network Nodes located in Washington, D.C., St. Louis, Frankfurt and London. Expansion of the Network will include installation of Network Nodes in Europe, North America and Asia. Approximately 40 Internet service providers and corporate customers use the Mirror Image Network. By leveraging its core technology, Mirror Image intends to provide enhanced services including delivery of large specialized caching, high quality streaming audio and video-on-demand over the Internet and global content distribution. The Mirror Image Network is built using proprietary technology that is highly scalable and designed to serve millions of end users at very high speeds. Mirror Image management believes that its Network will be able to be expanded to serve up to 75% of web traffic when an extremely large user population and a very large disk capacity are in place. By deploying a Mirror Image Network Node at a geographic region's key Internet exchange point, Mirror Image can reach the entire Internet infrastructure of that region. The Mirror Image Network also interoperates with caching platforms from numerous vendors, including Cisco, Cacheflow, Network Appliances, Inktomi, Cobalt, InfoLibria, Netscape and Novell. Caches improve performance and network efficiency with a number of users accessing the same cache. As a result, the positioning of Mirror Image Network Nodes at traffic intensive locations on the Internet generates superior caching benefits. In this way Mirror Image's solutions encompass the thousands of local caches being deployed in networks around the world, enabling it to complement local cache vendors' offering.
