Maya, it's almost impossible to make a judgement on the tax status of the transaction without seeing the contract. Usually the general public relies upon the companies Tax Council for guidance on what the intent of the deal was. After reading your post again it seems that the intent of the known part of the transaction (the merger with HLIT) is intended to be non-taxable, and it further states that the unknown part of the transaction ( Cube's semi disposition) is to take place whether it requires paying a tax or not.

I am definitely not the tax expert... but I guess that's what's keeping CUBE down these past 2 days, or at least I hope that's the reason... maybe someone will step up and buy CUBE semi in a stock deal, which should be non-taxable.

But who knows...
