OF PREMIUM VODKA AND OTHER LUXURY GOODS PRIMARILY IN RUSSIA

NEW YORK, March 20 /PRNewswire/ -- Asia Media Communications, Ltd.
(OTC Bulletin Board: ASMC) ("AMC"), announced that through a wholly
owned subsidiary it has completed a merger with Kremlyovskaya Group,
Inc., a Delaware corporation ("KGI") that owns all of the stock of
Kremlyovskaya Group NV, a Belgium corporation ("KGNV").
Each of the 15,500 shares of KGI outstanding immediately prior to
the merger was converted into 5,750 shares of AMC common stock resulting
in the issuance to the former shareholders of KGI of an aggregate of
89,125,000 shares of AMC common stock. Prior to the merger there were
an aggregate of 4,845,586 shares of AMC's common stock issued and
outstanding.
KGNV is a distributor of Kremlyovskaya vodka, a proprietary brand of
premium vodka manufactured by others pursuant to KGNV's formula and
specifications. The primary market for such vodka during 1995 was
Russia, where the Kremlyovskaya brand was the number one imported vodka
in quantity. Commencing in 1996, KGNV has been aggressively marketing
Kremlyovskaya vodka in the other former Russian republics and has
entered into distribution agreements covering over 30 other countries
throughout the world. The existing management of KGNV will remain
unchanged. AMC anticipates changing its corporate name to Kremlyovskaya
Group Inc.
In addition to vodka, KGNV also distributes, primarily in Russia,
luxury consumer goods such as chocolates, fine cigars and liquors, and
general merchandise such as cigarettes, beer and wine.
KGNV's unaudited gross sales for 1995 were approximately
US$51,478,000 and net operating profit before tax for 1995 was
approximately US$6,300,000.
In connection with the merger, Robert Bruloot, Kurt Schlepfer,
Valentin Kassatkine and Anthony Cataldo were appointed to AMC's board of
directors and Mr. Cataldo was appointed as C.E.O. Mr. Ian Rice will
continue as chairman of AMC.
Ian Rice, Chairman of AMC, stated, "The merger with KGI and its
wholly owned subsidiary, KGNV, represents the realization of AMC's plan
to identify and acquire a profitable, growth oriented business which
will provide shareholders with an opportunity for enhanced value. We
look forwarded to continuing and increasing the pace of KGNV's expansion
of its distribution of Kremlyovskaya vodka throughout the world."
