Not true.

And if you read the proxy, and have any background in accounting, you'll see that the deal was worse than anyone speculated in the beginning.

Fundamentals are the basis of business. The deal is fair based on that...the net mania distracted investors and blew everything out of proportion. Reality eventually settles in, as was argued.
