"CUBE must pay HLIT a cancellation fee" - that shows definitively whom was courting whom. HLIT was the chaser and thought that the announcement would generate further interest in Divicom and therefore wanted some security and to give CUBE strong incentive for not gilting HLIT for a higher bidder after the announcement.

HLIT was probably correct to be concerned about Divicom being the target of a bidding war.
