Perry, JDS Uniphase is an American company. It is not really a Canadian company except for the purposes of Canadian retirement plans (whew!).
Upon the merger, JDS became American controlled with substantial operations in Canada.
In Canada, JDS shares are considered "exchangeable" but the real ones trade on the Nasdaq. I could be wrong on this point but it is does not really matter--either way you are getting shares in the same company.

I know Nortel (NT) is part of the S and P 500 and it is a Canadian company! Even if JDS was Canadian, it would not be a barrier for inclusion in the S and P. You can confirm that NT is included from the S and P site i posted earlier.

I think the issue with Chrysler was that it was being taken over a company that is listed as an ADR on New York----ie meaning the shares of Mercedes did not really trade there and only ADRs did. Since the shares of the parent were not trading in New York and chrysler no longer existed upon the "acquisition"----means no inclusion in the S and P.
At least that is my understanding.
