To elect two (2) directors to serve until the 2002 Annual Meeting of Stockholders and until their successors are elected and qualified; 2. To consider and act upon a proposal to ratify the appointment of KPMG LLP as independent certified public accountants for the Company for the fiscal year ending June 30, 2000; and 3.
