vibaby, Yes, I did see this rumor posted on RB this morning. I very much doubt that it is based on facts. At least the market reaction seems to suggests that. I also hope that this is not true. I believe that I have a good sense of the real potential of this company. I have waited now for over two years for the company to convert that potential in to the shareholder value. They have laid out a good and viable plan (in September 1998) to achieve that. Their execution of the first part of that plan - the NSIL IPO - is indicative of their commitment to do just that. I am hoping and expecting that the upcoming proxy statement will provide information as to how the remaining parts of that plan are going to be executed. So, I wait patiently for the proxy statement or any other guidance from the company on that subject. Now lets consider the other possibility. Though it is very unlikely, but even if this rumor was based on some factual information, I would think that SCMR would only be interested in Optical Networking part of Osicom. Not in Network Access, Uniprecision, or in Osicom's interest in NSIL. An offer to buy Optical Networking business of Osicom at or close to $23 is still a very low offer, and I would think and hope that the majority shareholders would reject it. However, such an offer begins to make the point longs have been trying to make for a long time. That Osicom is grossly undervalued. May be such an offer will begin to correct the valuation that has been assigned to Osicom in the market place. I have no problem with that. In any case I am sure we'll find out the fact fairly soon. May be as soon a tomorrow after the market close. Regards, Afaq Sarwar
