The main problem I see with the spin-off scenario is that it may not address Dr. IJ's #1 stated priority for the sale: to take care of the customers. Why? because the resulting company would still be relatively small, still lack the supply chain clout needed to keep component costs low and availability count-on-able, and still be vulnerable to larger companies who are able to reduce price to grab market share.

In fact, this would also impact the priority to guarantee long-term ASIC sales. For this to be accomplished, the new company has to be viable long-term.
